TERMS AND CONDITIONS

1. Priority of Terms and Conditions:

Sale by Vovani Water (VW) is made subject to these terms and conditions, which shall prevail over any conflicting terms and conditions of Buyer.

2. Prices/Payment:

Payment Terms are applicable as per each quotation supplied. Please note pricing is dependent on foreign exchange rates and subject to change at any time.

Prices exclude VAT and are valid 7 days from date of quotation.

The Buyer is responsible for all applicable Sales and VAT taxes relating to the purchase of a product. A charge of 1% per month or the highest allowable rate of interest, whichever is less, shall be due on late payments. An inventory carrying charge of 1.5% per month shall be due on deliveries postponed by the Buyer. Cancellation of orders will be subject to a restocking charge of 15% together with any special costs incurred.

3. Manufacture Lead Time:

Manufacture time will be determined by the official order date of the customers Purchase Order, as well as the deposit payment (when applicable) by the customer. No product will be manufactured or supplied without an official PO and a deposit payment (when applicable).

The suppliers that Vovani Water represents makes every effort to adhere to the supplied manufacture lead time, but VW will inform all clients should there be any delay in the manufacturing process, that is determined unplanned or not in the control of VWP and its suppliers.

4. Shipping/Delivery:

Any shipping schedule provided by VW is its then-current estimate of delivery dates. VW will use reasonable efforts to deliver the Products in accordance with that schedule, but does not guarantee delivery dates and shall not be liable for any damages resulting from delay in delivery.

5. Warranty:

VW warrants that all Products delivered hereunder shall be of its specific supplier standard quality. VW makes no other warranties, express or implied. There are no implied warranties including the warranty of merchantability or fitness for a particular purpose.

6. Limitation of Remedies and Liabilities:

The sole and exclusive remedy pursuant to any claim of any kind against VW and / with respect to a product shall be, at VW and / or the suppliers option, either the repair or replacement of such product or a refund of the purchase price paid to VW. Any claim against VW and / or its suppliers shall be limited to recovery of direct damages only up to but not in excess of the purchase price paid to VW for such product. In no event shall VW and / or its suppliers be liable for indirect, incidental or consequential, damages, including damages for lost profits or loss of use of any product.

7. Non-Disclosure of Confidential Information:

Buyer agrees to hold in strict confidence information that it concerning VW’s suppliers products, drawings, software and methods of operation, all of which shall be treated as Confidential Information except that which is (1) publicly available through no fault of Buyer, (2) already known to Buyer at the time of disclosure, or (3) rightfully obtained from a third-party.

8. FORCE MAJEURE clause is included in this quotation.
